Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") form a binding agreement between you and Raj International, a business registered in Nagpur, Maharashtra, India ("Raj International", "we", "us" or "our"), and govern your access to and use of the Numbizz product and all related software and services (the "Service").

By creating an account, installing the Connector, using the mobile app or the admin dashboard, or subscribing to a paid plan, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the Information Technology (Amendment) Act, 2008, and applicable consumer protection and tax laws.

2. Definitions

• Service means the Numbizz product as a whole, including the Connector, the App, the admin dashboard, the hosted backend and all updates.
• Connector means the Numbizz Windows application installed on the customer's PC that reads data from Tally and posts vouchers back to it.
• App means the Numbizz mobile application for iOS and Android.
• Subscription means a paid plan (such as Pro or Pro Plus) purchased for a defined period, together with any add-ons.
• Tenant or Account means the isolated workspace created for a single business, including its data, users and settings.
• Tally means the customer's own installation of Tally Prime or Tally ERP 9 accounting software.
• You or customer means the business and the individuals authorised to act on its behalf who use the Service.

3. Eligibility

The Service is intended for use by registered businesses in India. By using the Service you represent and warrant that:

• you are at least 18 years of age;
• you are using the Service on behalf of a lawfully operating business; and
• you are authorised to bind that business to these Terms.

The Service is not directed at consumers for personal use or at anyone under the age of 18.

4. Accounts & Registration

To use the Service you must create an account and provide accurate, current and complete information. You are responsible for keeping that information up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly if you suspect any unauthorised use of your account.

Each Tenant has one owner, who holds the highest level of control over the Account. The owner may invite additional users and assign roles (such as manager or sales-team member) with appropriate levels of access. The owner remains responsible for the actions of all users they invite.

5. The Service & License

Subject to these Terms and to payment of any applicable fees, Raj International grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Connector and to access the App and admin dashboard for your internal business purposes during your subscription term.

Tally remains the customer's system of record. Numbizz reads data from your Tally installation, caches it to display in the App, and proxies vouchers you create back into Tally. We do not replace Tally, fork your chart of accounts, or claim to be your books of account. If Tally rejects a voucher, we surface the reason and allow you to retry; we do not silently alter your accounting data.

6. Acceptable Use

You agree that you will not, and will not permit any user to:

• copy, modify, reverse engineer, decompile or disassemble any part of the Service, except to the extent expressly permitted by applicable law;
• resell, sublicense, rent or otherwise make the Service available to any third party who is not an authorised user of your Account;
• use the Service for any unlawful, fraudulent or abusive purpose, or to send messages that violate applicable communication or data-protection laws;
• attempt to access, probe or interfere with any account, data or system that does not belong to your Tenant;
• introduce malware, attempt to bypass usage limits, or otherwise impair the integrity or performance of the Service.

7. Customer Data & Ownership

The business data synced from your Tally installation, and the records you create in the App, belong to you. We do not claim ownership of your data.

You grant us the limited rights necessary to host, process and display that data solely to provide the Service to you, including syncing it from Tally, storing it securely, and writing vouchers back to Tally at your instruction. How we collect, store, secure and retain your data is described in our Privacy Policy, which forms part of these Terms.

8. Subscriptions, Fees & Taxes

Numbizz is offered on yearly subscription plans. Current plans are Pro at ₹1,499 per year and Pro Plus at ₹1,999 per year, with an Extra Connector add-on available at ₹499 per year. All listed prices are in Indian Rupees and are inclusive of 18% GST.

New customers receive a 1-month free trial with full features and no card required. At the end of the trial, paid access continues only if you subscribe.

Subscriptions are currently charged as a yearly one-time payment for the upcoming term, processed securely through Razorpay. We do not store your card details. Auto-renew is a preference you can switch on or off from the App or admin dashboard; when it is off, your subscription will not renew automatically and access ends when the paid period expires.

9. Third-Party Services

The Service relies on certain third-party providers to function, including Razorpay for payment processing and our hosting provider for infrastructure. Your use of features that depend on these providers is also subject to their respective terms. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.

10. Intellectual Property

The Numbizz name, logo, software, design, documentation and all related intellectual property are owned by Raj International and are protected by applicable law. Except for the limited license granted in these Terms, nothing here transfers any right, title or interest in the Service to you. You may not use our brand or marks without our prior written permission.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Service depends on your own Tally installation, your PC, and your internet connection, none of which are under our control, and on the availability of third-party providers.

While we work to keep the data shown in Numbizz accurate and timely, the reports and figures presented are a convenience view of your Tally data and are not a substitute for your own books of account. Tally remains authoritative. To the maximum extent permitted by Indian law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Raj International will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service will not exceed the total fees you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

13. Suspension & Termination

We may suspend or terminate your access to the Service if you fail to pay applicable fees, breach these Terms, or use the Service in a way that risks harm to us, other customers or third parties. Where reasonable, we will give you notice and an opportunity to remedy the issue.

You may stop using the Service and cancel your subscription at any time, as described in our Refund & Cancellation Policy. On termination, your license to use the Service ends. We will retain or delete your data in accordance with our Privacy Policy; billing records may be retained as required by Indian tax law.

14. Changes to the Terms

We may update these Terms from time to time to reflect changes in the Service, our practices or applicable law. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the App or by email. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to applicable law, the courts at Nagpur, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
